ALTIN AG shares have been traded on the Swiss exchange since August 1996. The company belongs to the "investment company" segment. Following a capital increase, ALTIN started its activity as an investment company specialised in alternative investments in December 1996. As such, December 1996 is considered in this site and in the company’s reports as the inception date. On 25 October 2000, ALTIN AG changed its quotation currency from CHF to USD. This change has brought the quotation currency in line with the investment currency, thus improving transparency for investors.

Since December 2001, Altin AG has also been listed as an investment company on the London Stock Exchange where its shares have been traded in USD.

Capital Structure

The issued capital is CHF 84.4 million, divided into 4'965'598 registered shares with CHF 17.- nominal value.

Fees

A 1.5 per cent annual management fee based on the total market capitalisation of ALTIN AG (and prior to deduction of the performance fee) is due to the Investment Manager.

Furthermore, the Investment Manager will receive a performance fee equal to: 5% of any NAV increase up to 12%, plus 10% of any NAV increase situated between 12% and 20%, plus 0% of any NAV increase situated above 20%.This scaled fee structure is designed to ensure that the manager is incentivized to generate returns within ALTIN's targeted range, while being neither unduly cautious nor too adventurous.

Risk Involved

As part of their investment activities in non-traditional investment vehicles, hedge fund managers typically trade in different financial instruments and enter into various investment activities with different risk profiles. With respect to the investment strategy utilised by the asset managers, there is always some, and occasionally, a significant degree of market risk. Selected asset managers are not limited to certain markets or financial instruments and are not bound to a predefined asset allocation.

NAV Calculation

The Company will determine once a week on Thursday an indicative net asset value in US dollars taking into consideration the value of the total assets of the Company minus the total liabilities of the Company divided by the number of shares issued. Such indicative NAV will include the latest available net asset values of assets held by asset managers.

Taxation

The taxation on income and capital gains of ALTIN is subject to the laws and practices of Switzerland and the Cayman Islands. The taxation on income and capital gains of the shareholders is subject to the laws and practices of Switzerland and the jurisdictions of the shareholders' residency or otherwise subject to taxation. Prospective investors should consult their own tax advisers in respect of the relevant tax considerations applicable to their situation in case of a purchase, holding and disposal of shares and the receipt of distributions under the laws of countries in which they are liable to taxation.

Dividend Policy

Although dividends are possible as stated in the company's Articles, ALTIN AG does not intend to pay dividends, but rather to reinvest the annual earnings in order to achieve long-term capital appreciation. Ever since inception in 1996, ALTIN AG has not paid out any dividends.
